Right of such Railway Company to.transmit such
Messages or other beneficial Interest.
Provided always, that notliing in this Act shall
enable the Postmaster General to purchase the Uu
dertakings of the Atlantic Telegraph Company or
of the Anglo-American Telegraph Company (Limi
ted), or any Part of such Undertakings.
8. With respect to the Purchase of the Un
dertakings of the Electric and International Tele
graph Company, the Britisk and Irish Magnetic Tele
graph Company, aud the United Kingdom Electric Te
legraph Company (Limited), be itenacted as follows:
(1.) Each of the Three Companies may, with the
Authority of Two Thirds of the Votes of its
Shareholders, present in person or byproxy
at a General Meeting of the Company spe
cially convened for the Purpose, seil and
convey, and the Postmaster General shall
upon Demand of the Company under its
Common Seal purchase, the whole Under
taking of the said Company:
(2.) The Price to be paid by the Postmaster Ge
neral to each Company for its Undertakiug
shall be Twenty Years Purchase of the net
Profits during the Year ending on the Thir
tieth Day of June One thousand eight hundred
and sixty-eight from the Undertaking so
conveyed; and in the Case of the United
Kingdom Company there shall be paid in
addition to the Amout aforesaid—
First, the Price paid by the Company for
the Patent of „ Hughes s Type-printing Tele
graph," such Price not to exceed Twelve
thousand Pounds;
Secondly, a Sum equal to the estimated
aggregateYalue of the quoted OrdinaryShare
Capital of the Company reckoned on the
highest Quotation showu in the Official Lists
of the London Stock Exchange on any Day
between thp First and the Twenty-fifth Days
of June One thousand eight hundred and
sixty-eight; and
Thirdly, Compensation for the Loss of the
prospective Profits of the Company on the
Ordinary Shares, and any Sum that may
be determiiied upon in consideration of the
kompagni dets Ret til at befordre saadanne De
pecher eller til anden iudbringende Interesse.
Nærværende Lov bemyndiger dog ikke Ge
neral-Postmestereu til at kjøbe de Anlceg, der til
høre „the Atlantic Telegraph Company" eller „the
Anglo-American Telegraph Company", eller nogen
Del af saadanne Anlceg.
8. Med Hensyn til Kjøbet af de Anlceg, der
tilhøre „the Electric and International Telegraph
Company", „the British and Irish Magnetic Tele
graph Company" og „the jUnited Kingdom Electric
TelegraphCompany (Limited)" bestemmes somfølger;
(1.) Ethvert af de tre Kompagnier kan, naar paa
en i saadant Øiemed specielt sammenkaldt
Generalforsamling de personlig eller ved
Fuldmægtig nærværende Aktiehavere med
£ Stemmefleerhed dertil give sit Samtykke,
sælge og overdrage, og General -Postmeste
reu skal paa Forlangende af Kompagniet
under dets Segl være pligtig at kjøbe det
nævnte Kompagnis hele Anlæg.
(2.) Den Priis, som af General -Postmesteren bli
ver at betale til hvert Kompagni for dets
Anlæg, skal være tyve Aars Kjøb af det
saaledes overdrague Anlægs Nettogevinst i
det Aar som ender den 30te Juni 1868; og
for „the United Kingdom Companys" Ved
kommende skal foruden forannævnte Beløb
endvidere betales:
For det Første: den Priis som Kompagniet
har betalt for Patentet paa „Hughes Type
printing Telegraph", dog at saadan Priis ikke
overstiger tolv Tusinde Pund Sterling.
For det Andet: En Sum lig den anslaaede
samlede Yærdi af Kompagniets noterede
ordinære Aktie - Kapital, regnet efter den
høieste Kurs der paa hvilkensomhelst Dag
mellem den Iste og den 25de Juni 1868
findes noteret i Londons Fondsbørs’s offi
cielle Lister.
For det Tredie: Godtgjørelse for Tab af
Kompagniets sandsynlige fremtidige Gevinst
paa de ordinære Aktier og hvilkensomhelst
Sum som maa blive bestemt i Betragtning
